本課程目的係為使同學瞭解資本市場基本的遊戲規則：證券交易法，瞭解其立法目的及適用爭議，並熟悉其運作實務。
證券交易法是資本市場運作的根本大法，規範證券的發行市場(primary market)與交易市場(secondary market)。與其他法律不同的是，證券市場除由證券交易法管理外，也透過授權主管機關的方式由其訂定諸多的法規命令，而使證券交易法顯得錯綜複雜。本課程希望透過授課老師的講授、案例與判決的討論，使同學對證券交易法制有一完整瞭解，並能熟悉證券市場規範之運作。
Securities Law is the fundamental law governing securities market which includes primary market and secondary market. Securities laws consists of laws and rules which Congress delegate administrative authorities to prescribe. This course will go through securities laws and rules. It also discuss leading cases of securities laws.
